Constitution Changes 2018

Online voting Closes at 5pm on Wednesday 15 June 2018.  Votes cast after that time will be invalid.  Votes may be hand delivered to the Secretary up to the start of the AGM.

Once again, we are promoting changes to our Constitution to ensure it helps rather than hinder our progress. An explanation of the changes together with the proposed wording of the relevant clauses of our Constitution are included with this magazine together with a voting form so you can have your say on how we operate. Awards: The authority to grant our major awards, which recognise exemplary service to JBNZ, is shifted to our JBNZ Management Committee who will be better placed to fully understand the nominee’s contribution and to streamline the process avoiding cumbersome ballots at our AGMs. Branch awards will still be able to be made at the branch level.

Presidential Term: To set a minimum period between presidential terms of an individual to one year.

JBNZ Management Committee: To properly recognise this Committee which has been acting as a subcommittee of our Executive for the past 10+ years, to define its role to manage, and of the Executive to govern JBNZ.

Appointment of President, Vice President and Patron: Just as many other organisations do (including in politics), we wish to move to having these positions appointed by our JBNZ Management Committee. Without casting any aspersions on past holders of these positions, we consider that the proposed method will ensure the best qualified person with the right skills and experience for the role will be appointed rather than a person who may be a more popular but less capable candidate.

Executive: We are making changes to the total number serving on the Executive, to ensure the total number remains constant, regardless of whether or not the position of Immediate Past President is filled.

Branch – Immediate Past Chairman: We wish to emulate the national position of Immediate Past President at our branches which currently don’t formerly have a position of immediate past Chairman although in practise some branches may have been doing this. We recognise the huge importance of the mentoring that can be required for a new Branch Chairman and who better to do this than the most recent holder of that position.

Minor Changes: A number of minor changes to grammar, punctuation, layout and numbering will be completed in conjunction with the proposed changes

    6. SPECIAL PROVISIONS: 1. Awards, as below, may be conferred on any person, whether or not they are a member, who in the opinion of the JBNZ Management Committee is deserving of such honour, except if the nominee is a current member of the Management Committee, then the nomination shall be forwarded to the Executive for consideration. Nominations may be received from any current member or from a Branch Committee. Awards shall be confirmed by secret ballot of the relevant committee considering the award Nominations may be declined without giving any reason to the Nominator. a. Honorary Membership: This award is to provide membership for a set period to JBNZ to any person for whom JBNZ considers that it may be desirable for that person be a member, or to recognise exemplary service to JBNZ. Such membership shall be for up to one Subscription year and may be renewed as required. The Subscription shall be waived for the membership period awarded. b. National Service Award: This award is to recognise extraordinary service or assistance to JBNZ on a National basis. The Subscription, if a member, shall be waived for one subscription year. c. Honorary Life Membership: This award is to recognise exemplary or long service in administration or in the field which has substantially contributed toward the betterment of JBNZ. This award is intended to be the highest bestowed by JBNZ. It should not be awarded lightly nor too frequently. Holders of some years of Branch Service or National Service Awards should be considered primary candidates for this honour. The Subscription shall be waived permanently. d. Branch Service Award: This award is to recognise extraordinary service or assistance to a branch. This award may also be conferred by the committee of a branch of JBNZ by secret ballot. The Subscription, if a member, shall be waived for one subscription year.

    [c] The President shall not hold office for more than three [3] years consecutively and the period between any broken terms of Presidency held by one person shall not be less than one (1) year.

    12[a] The affairs of JBNZ (subject to any directions made by a General meeting) shall be governed by an Executive which shall consist of the following members: (1) The Officers of JBNZ holding office under the provisions of Rule 11, and (2) Nine (9) members elected by the Members at the AGM or such number thereof as from time to time may be prescribed by a General Meeting. In the event the meeting decides to increase the size of the Executive, the highest polling unsuccessful candidate(s) will become the additional member(s) and the new number decided upon will remain until varied by any future General Meeting. (3) Where the office of Immediate Past President reaches is vacant, the number of members elected under Rule 12[a](2) shall be increased by one. (4) The President for the time being of the New Zealand Jet Boat River Racing Association Incorporated or his duly appointed deputy.

    [e](ii) The affairs of JBNZ (subject to any directions made by a General meeting) shall be managed by a Sub Committee hereafter referred to as the JBNZ Management Committee which shall consist of the Immediate Past President, Secretary and Treasurer and the Executive Members elected under Rule 12[a](2). All powers of the Executive are delegated to this Sub Committee which shall remain subordinate to the Executive and shall carry out all directions, general or special, made by the Executive. [i]At all meetings of the Executive and the Management Committee, five [5] members thereof shall form a quorum. [j]The President has power to call, at short notice, a Special Meeting of the Executive or the Management Committee for urgent business. [k]At all meetings of the Executive or Management Group the chair shall be taken by the President, or in their absence, by the Vice-President, or in the absence of both Officers, the meetings shall elect a Chairman.

    13[g] The positions of President and Vice President shall be determined annually by a majority secret ballot of the JBNZ Management Committee at the first meeting held after the Annual General Meeting. In the event that the total number of positions available on the Executive are filled after nominations for Executive close prior to the Annual General Meeting then this election of President and Vice President may be completed prior to the Annual General Meeting with these positions effective from the date and time determined by the JBNZ Management Committee, but not later than immediately after the Annual General Meeting. [h] The positions of Patron, Secretary, Treasurer and Auditor of JBNZ shall be filled by way of appointment made by the JBNZ Management Committee. Such appointment shall be for a period not exceeding one year (1) and may be renewed as required.

    19[c] Officers: The Officers shall consist of Chairman, Vice Chairman, Immediate Past Chairman, Secretary, Treasurer (the offices of Secretary and Treasurer may be held by the same person), and a Committee of not less than two [2], all of whom shall be elected at the Annual General Meeting of the Branch, except for the retiring Chairman who shall, with their consent, but without election, assume the office of Immediate Past Chairman for the ensuing year, and shall then retire from that office. A Chairman who resigns or otherwise ceases to be Chairman before the expiration of their term of office shall not thereby become Immediate Past Chairman.
